Welcome to SpiderClickz. These Terms and Conditions ("Terms") govern your use of our website (www.spiderclickz.com) and the purchase of our digital marketing, marketplace management, and web development services. By accessing our site or engaging our services, you agree to be bound by these Terms.

1. Engagement of Services

SpiderClickz agrees to provide the services described in the specific Service Agreement or Statement of Work (SOW) executed between the Client and SpiderClickz. These may include, but are not limited to:

  • Search Engine Optimization (SEO) and Local SEO.
  • Social Media and Influencer Marketing.
  • E-commerce Marketplace Management (Amazon/Flipkart).
  • Web and Application Development.

2. Client Obligations

To ensure the successful delivery of services, the Client agrees to:

  • Provide timely access to necessary accounts (Google Business Profile, Amazon Seller Central, Social Media handles, etc.).
  • Supply accurate and complete information, brand assets, and content required for campaigns.
  • Review and approve deliverables within the agreed-upon timelines.

3. Payment Terms

Fees for services are outlined in the specific project quote or contract. Unless otherwise stated:

  • Retainer services are billed monthly in advance.
  • Project-based services (e.g., Web Development) require a 50% upfront deposit.
  • Late payments may result in a temporary suspension of services until the balance is cleared.

4. Intellectual Property

Client Content: The Client retains all rights to any data, logos, and materials provided to SpiderClickz.

Deliverables: Upon full payment, the Client owns the final deliverables . However, SpiderClickz retains ownership of its proprietary AI models, internal processes, and "AI Spiders" used to generate results.

5. AI and Performance Disclaimer

SpiderClickz uses cutting-edge AI and fine-tuned models to optimize campaigns. While we strive for excellence, the Client acknowledges that:

  • Search engine algorithms (Google) and marketplace policies (Amazon) are outside our control and subject to change without notice.
  • Specific rankings or sales targets cannot be guaranteed due to the competitive nature of digital marketing.

6. Limitation of Liability

To the maximum extent permitted by law, SpiderClickz (Clidot Private Limited) shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business reputation, arising from the use or inability to use our services.

Our total liability for any claim arising out of or relating to these Terms shall not exceed the total amount paid by the Client to SpiderClickz in the three (3) months preceding the claim.

7. Confidentiality

Both parties agree to keep all non-public business information, strategies, and technical data confidential during and after the term of the engagement.

8. Termination

Either party may terminate a service agreement with thirty (30) days' written notice. In the event of termination, the Client shall pay for all services rendered up to the termination date.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Kerala, India.
